JACKSONVILLE AREA GOLF ASSOCIATION

JACKSONVILLE, FLORIDA

ARTICLE 1

The name of the organization described by this document is the Jacksonville Area Golf Association, Inc. (hereafter “JAGA”).  JAGA is a Not-for-Profit Corporation, a 501 (c) (4) organization.

ARTICLE 2

The general purpose of JAGA is:

  1. To promote interest and participation in the ancient and honorable game of golf.
  2. To arrange competitive tournaments, and to act as a coordinator for tournament schedules in the area.
  3. To promote unity among the member clubs in planning in accordance with current rules as set by the United States Golf Association.
  4. To encourage and promote Junior Golf.
  5. To fund scholarships for worthy students associated with our Members.

ARTICLE 3

The Members of JAGA are those organizations requesting membership and having been duly accepted. Members of JAGA may be golf clubs or other organizations closely related to the game of golf. The governing body of JAGA consists of Officers and Directors.

ARTICLE 4

The Officers of JAGA and their duties are:

President: Presides at all meetings and carries out the orders of the organization in the management of JAGA.

Vice-President Administration: Schedules JAGA meetings and in the absence of the President performs the duties of that office as well as serves on such other Committees as the President may direct.

Vice-President Tournaments: Is responsible for the operation of all JAGA tournaments.

Treasurer: Collects all monies belonging to JAGA and disburses same under the direction of the Directors. The Treasurer reports in writing to JAGA on a monthly basis.

Secretary: Records and keeps the minutes of all the meetings of the Directors and any other records or reports as requested by the President.

ARTICLE 5

The Executive Committee is composed of the five (5) JAGA officers, the Executive Secretary, the Immediate Past President and the Webmaster. The Board of Directors is comprised of the Directors. The management of JAGA is vested in the Executive Committee in conformity with policies established by the Board of Directors.

ARTICLE 6

Inasmuch as JAGA is specifically designed as a voluntary, non-profit corporation, there are no set dues for Directors. However, JAGA at the discretion of its Board of Directors, may raise funds in the interest or promotion of golf, or for the support of a worthy charity, provided there is no financial obligation assumed by JAGA or its Members in so doing.

ARTICLE 7

Special meetings of JAGA may be called at any time by the President and three Directors representing three Members. At least ten days’ notice must be given of any special meeting of JAGA.

ARTICLE 8

The President may appoint such Standing or Special Committees that he/she considers in the best interests of JAGA.

ARTICLE 9

A minimum of 20 Directors representing at least 20 Members will constitute a quorum for the transacting of business at JAGA meetings. No vote shall be cast for an absent member of the regular Board of Directors.

ARTICLE 10

Amendments to this Constitution and the JAGA By-Laws may be made at regular or specially called meetings by a two-thirds majority vote of the Directors present and voting. At least ten (10) days’ notice of the proposed amendment changes must be given the membership in writing.
